Codex Terms of Service

Effective Date: October 18, 2025

These Terms of Service ("Terms") govern your access to and use of the Codex mobile application and services (collectively, the "Service"), provided by Codibrain Inc. ("Codex," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Service, or clicking any button to signify your consent, you represent that you have read, understood, and agree to be bound by these Terms.

Eligibility

You must be at least **13 years old** to use the Service. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you must have your parent or legal guardian review and agree to these Terms on your behalf.

2. Accounts and Registration

A. Account Creation

You agree to provide accurate and complete information when registering for an account. You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

B. Usernames and Content

Your chosen username must not be offensive, misleading, or infringe upon any third party's rights. We reserve the right to reclaim or change usernames at any time.

C. Phone Number

You agree to provide a valid phone number for account verification, security purposes, and managing friend connections.

3. User-Generated Content (UGC)

A. Your Responsibility

You are solely responsible for any content (including code, profile descriptions, comments, or communication) that you post, upload, link to, or otherwise make available via the Service ("Your Content"). You agree that Your Content complies with these Terms and applicable laws.

B. Prohibited Content

You agree not to post, upload, or otherwise transmit any content that:

Is unlawful, harmful, threatening, abusive, defamatory, obscene, or harassing.
Contains nudity, violence, or promotes illegal activities.
Infringes upon any copyright, trademark, trade secret, or other intellectual property rights.
Contains any software viruses or other computer code, files, or programs designed to interrupt or destroy the functionality of the Service.

C. License to Codex

By posting Your Content, you grant Codex a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use, reproduce, modify, display, distribute, and create derivative works of Your Content in connection with the operation and promotion of the Service.

4. GitHub Integration and Scoring

The Service allows you to optionally link your public GitHub profile to generate a "Profile Score" and display public statistics.

Public Data Only: We only access and display data that is publicly available on your GitHub profile.
No Obligation: The scoring feature is provided "as is" and for entertainment/competitive purposes only. We do not guarantee the accuracy, completeness, or timeliness of the scores.
API Usage: You acknowledge that this feature relies on the GitHub API, and its availability and terms are subject to GitHub’s policies.

5. Community Guidelines and Conduct

You agree not to engage in any of the following prohibited activities:

**Harassment:** Stalking, intimidating, or otherwise harassing another user.
**Spam/Abuse:** Sending unsolicited communications, promotions, or advertisements (spam).
**Cheating:** Attempting to manipulate code challenge results or GitHub scores by artificial means.
**Impersonation:** Impersonating another person or entity, or misrepresenting your affiliation.
**Data Harvesting:** Collecting or harvesting any personally identifiable information (PII) from the Service without permission.

We reserve the right to remove any content or terminate any account that violates these guidelines.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

7. Disclaimers ("AS IS")

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Codex disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that the Service will be uninterrupted, timely, secure, or error-free.

8. Limitation of Liability

In no event shall Codibrain Inc., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any errors or omissions in any content.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the **State of [Your State, e.g., Delaware]**, without regard to its conflict of law provisions.

Arbitration Agreement (Recommended)

Any dispute or claim relating in any way to your use of the Service will be resolved by **binding arbitration**, rather than in court, except that you may assert claims in small claims court if your claims qualify. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
